URBLD.COM – INTELLECTUAL PROPERTY RIGHTS POLICY

This Intellectual Property Rights Policy (“IP Policy”) forms part of and is incorporated into the URBLD Terms of Service (“Terms”).

It governs all intellectual property matters related to the URBLD platform including:

• the website located at https://urbld.com

• mobile applications

• APIs and integrations

• software features including CRM, scheduling, dispatching, invoicing, telephony/SMS, AI tools, and reporting

• documentation and developer materials

• all related software, services, and technologies (collectively, the “Services”).

By accessing or using the Services, you agree to comply with this IP Policy.

1. OWNERSHIP OF INTELLECTUAL PROPERTY

1.1 URBLD Intellectual Property

URBLD LLC and its licensors exclusively own all rights, title, and interest in and to the Services, including but not limited to:

• software source code and object code

• platform architecture and system design

• APIs and system integrations

• algorithms, machine learning models, and AI systems

• databases and platform infrastructure

• visual interfaces and application layouts

• trademarks, service marks, logos, and branding elements

• documentation and technical materials

• templates, automation workflows, and system-generated reports

• platform analytics systems and operational logic

All improvements, enhancements, derivative works, updates, patches, or modifications to the Services are owned exclusively by URBLD.

All associated patents, copyrights, trade secrets, database rights, and other intellectual property rights remain the property of URBLD or its licensors.

1.2 Customer Intellectual Property

As between the parties, the Customer retains ownership of all Customer Data submitted to the platform, including:

• business records stored in the system

• customer contact information

• invoices, estimates, and job records

• uploaded logos and company branding

• uploaded documents and files

• service history records

• communications with end-customers

URBLD does not claim ownership of Customer Data.

1.3 No Transfer of Ownership

Use of the Services does not transfer ownership of any intellectual property rights between the parties.

All rights not expressly granted under the Terms remain reserved by URBLD.

2. LICENSE GRANTED TO CUSTOMER

2.1 Platform License

Subject to compliance with the Terms of Service, URBLD grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable license during the subscription term to:

• access and use the Services for internal business operations

• generate invoices, reports, and operational outputs

• manage customer relationships and job scheduling

• download or export business records produced by the platform

• access platform APIs where enabled

This license does not grant rights to copy, distribute, or commercialize the platform itself.

2.2 Platform Restrictions

Customer may not:

• reverse engineer, decompile, or disassemble the Services

• attempt to extract source code or platform architecture

• attempt to extract AI model parameters or training data

• replicate platform functionality in competing products

• scrape or extract platform data into external databases

• circumvent usage restrictions or access controls

• remove proprietary notices or platform branding

• interfere with system integrity or platform security

2.3 API and Developer Restrictions

Where APIs are provided, they may only be used in accordance with URBLD API documentation and rate limits.

Developers may not:

• build competing software products using URBLD APIs

• extract platform data beyond authorized access

• attempt to recreate URBLD platform services through automated use

• overload or abuse the API infrastructure

URBLD reserves the right to suspend API access for violations.

3. LICENSE GRANTED TO URBLD

Customer grants URBLD a limited, worldwide, non-exclusive license to process Customer Data solely for purposes of:

• operating and maintaining the platform

• providing technical support

• maintaining platform security and reliability

• improving system performance

• complying with legal obligations

URBLD may also use anonymized, aggregated, or de-identified data derived from Customer Data for purposes such as:

• platform improvement

• performance analysis

• security monitoring

• benchmarking and research

Such aggregated data will not identify any Customer or individual.

4. EXPORTS AND CUSTOMER RECORDS

Customers may export or download their own business records including:

• invoices

• job reports

• estimates

• customer lists

• operational analytics

Exported records remain the property of the Customer.

However, platform templates, formatting systems, UI design, and platform structure remain proprietary to URBLD.

5. TRADEMARKS

URBLD trademarks, logos, and service marks (“URBLD Marks”) remain the exclusive property of URBLD LLC.

Customers may not:

• use URBLD Marks in domain names

• use URBLD branding in competing software products

• imply endorsement or partnership without written permission

• reproduce URBLD branding outside permitted uses

URBLD may identify Customers as platform users in marketing materials or customer lists with prior approval.

6. OPEN SOURCE SOFTWARE

The Services may incorporate open-source software components.

These components remain governed by their respective open-source licenses.

URBLD will provide attribution and licensing information where required.

7. REPORTING INTELLECTUAL PROPERTY INFRINGEMENT

URBLD respects the intellectual property rights of others.

If you believe content on the platform infringes your intellectual property rights, you may submit a notice to:

Your notice should include:

• identification of the copyrighted work claimed to be infringed

• the location of the allegedly infringing material

• your name and contact information

• a statement that you have a good-faith belief that the use is not authorized

• a statement under penalty of perjury that the information provided is accurate

URBLD will review valid notices and take appropriate action consistent with applicable law.

8. ENFORCEMENT

Violation of this policy may result in actions including:

• suspension of account access

• removal of infringing content

• termination of services

• legal claims for damages

• cooperation with law enforcement where applicable

Users agree to indemnify URBLD against claims arising from misuse of intellectual property through the Services.

9. POLICY UPDATES

URBLD may update this Intellectual Property Rights Policy periodically to reflect legal, operational, or platform changes.

Material updates will be communicated through the platform or by email.

Continued use of the Services after updates constitutes acceptance of the updated policy.
